Refer-a-Friend Terms and Conditions
Ashley may, from time to time, offer you the opportunity to refer friends to shop on Ashley’s website (https://www.ashley.com) (the “Ashley Refer a Friend Program”). We reserve the right to terminate the Ashley Refer a Friend Program at any time for any reason without notice to you. The Ashley Refer a Friend Program is administered on our behalf by Extole, Inc. as our service provider (“Service Provider”). Participation in the Ashley Refer a Friend Program is at all times subject to these Terms and Conditions, Ashley’s Terms of Use and Ashley’s Dispute Resolution Process, and by participating in the Ashley Refer a Friend Program, you are agreeing to them.
Participation. To participate in the Ashley Refer a Friend Program, you must visit the “Refer a Friend” page within our website located at https://www.ashley.com (the “Ashley Site”), either online or in app, and follow the on-screen instructions to refer friends, family members or colleagues to shop on the Ashley Site. You may refer a maximum of 10 friends, family members or colleagues each week and a maximum of 500 times throughout the entirety of the Program. Once you make a referral, you become a “Referrer” and will be provided with a unique referral link (“Personal Link”) that you can copy and then send to friends, family members or colleagues by text, social media, or your personal email account. Individuals to whom you send the Personal Link are “Referred Customers”. Only send Personal Links to individuals who can legally make purchases on the Ashley Site.
Eligible Referrer. To be an “Eligible Referrer” you must be a legal resident of the United States of America, at least 18 years old, and in compliance with these Terms and Conditions and Ashley’s Terms of Use.
Making and Receiving a Referral. You cannot refer yourself or create multiple, fictitious or fake accounts with Ashley or participate in the Ashley Refer a Friend Program using multiple or fake email addresses or identities.
Referred Customers must click the Personal Link provided by an Eligible Referrer, which will connect them to the registration process for the Ashley Refer a Friend Program. When a Referred Customer who is at least 18 years old completes the registration for the Ashley Refer a Friend Program using the Personal Link, the Referred Customer will receive a promo code redeemable for a one-time $50.00 discount off their first Qualifying Purchase (as defined below) prior to the promo code’s expiration date (the “Referral Discount Code”).
A “Qualifying Purchase” means a purchase made by a Referred Customer through the Ashley Site using the Referral Discount Code that is not cancelled or returned. If a Referred Customer makes a purchase using any other link or method, or returns some or all items purchased, the purchase will not count as a Qualifying Purchase and you will not earn a Referral Discount. Only one Referral Discount can be earned for each Referred Customer. Any additional or subsequent purchases made by a Referred Customer will not count as a Qualifying Purchase and you will not earn a Referral Discount for those purchases. In addition, only one Referral Discount Code may be redeemed by a Referred Customer. Therefore, if multiple Referrers have referred the same friend, only one Referrer will be entitled to receive a Referral Discount and the friend will be eligible to redeem only one Referral Discount Code. The Referral Discount will be earned by the Referrer whose Referral Link was made to generate the Referral Discount Code that was redeemed in connection with a Qualifying Purchase. All other Referrals will automatically be invalidated.
By making a valid referral, you will receive a promo code for a one-time $50.00 discount off your next purchase through the Ashley Site. You can earn a maximum of 10 rewards per year. Restrictions may apply. Rewards are subject to verification. We may delay a reward for the purposes of investigation. We may also refuse to verify and process any transaction for any reason.
Redeeming Promo Codes..Promo codes may be redeemed by Eligible Referrers or Referred Customers by making a minimum $150.01 purchase through the Ashley Site, and entering a single promo code in the “promo code” section of the checkout process. Promo codes may not be redeemed in Ashley or Ashley Outlet stores. Only one promo code may be used per transaction, and cannot be combined with any other promotional offers or other promo codes. Promo codes have no monetary value and may not be redeemed for cash. Some products may not be eligible for purchase through the use of a promo code.
Bulk Distribution (“Spam”).Bulk email distribution, distribution to strangers, or any other promotion of a Personal Link in a manner that would constitute or appear to constitute unsolicited commercial email or “spam” in Ashley’s sole discretion is expressly prohibited and may be grounds for immediate termination of your account and deactivation of the Personal Link.
Additional Terms, Conditions, Exclusions, and Restrictions. Additional terms, conditions, exclusions, and restrictions may apply to your use of promo codes. Promo codes may expire if not used by the date specified in the delivery email (if any). Only individuals may participate in the Ashley Refer a Friend Program. Promo codes accumulated under the Ashley Refer a Friend Program have no monetary or cash value and are for individual use only and may not be transferred to any individual, group, company, or other entity. Any promo codes you have earned, as well as your account under the Ashley Refer a Friend Program are personal to you and may not be sold, transferred, or assigned to, or shared with, family, friends, or others. We reserve the right (in our sole discretion) to deduct promo codes that were issued in error or that were not earned legitimately. Once a promo code has been redeemed, redemption is considered final, and no changes may be made by you. Partial redemption of promo codes is not allowed. Promo codes may not be reused. Participation in the Ashley Refer a Friend Program and the receipt of or redemption of promo codes may result in tax liability to you. Any tax, liability, or expense arising from participation in the Ashley Refer a Friend Program, and accumulation or redemption of promo codes by you or in connection with your account is your sole responsibility. We reserve the right to modify, limit, terminate, discontinue, or cancel the Ashley Refer a Friend Program, its benefits, and these terms at any time in our sole discretion and without notice to you. At any time, we may change the monetary value of unissued promo codes, or cap the number of promo codes you may earn in any time period. The accumulation of promo codes does not entitle Ashley Refer a Friend Program participants to any vested right with respect to the promo codes or the Ashley Refer a Friend Program. You agree Ashley will not have any liability for any modification or termination of the Ashley Refer a Friend Program, even if any modification or termination affects your ability to use any promo codes already accumulated. Upon termination of the Ashley Refer a Friend Program, your promo codes may automatically be cancelled, and you will not be permitted to redeem those promo codes. Promo codes are void where prohibited by applicable law. We are not responsible for promo codes lost through your own negligence, or due to fraudulent or unauthorized use of your account. You agree not to engage in fraud or abuse in the accumulation of promo codes or use of any Personal Links provided to you. Any fraud or abuse relating to your accumulation of promo codes or submission of Referred Customers may result in the annulment of all promo codes earned under the Ashley Refer a Friend Program as well as cancellation of your account. We reserve the right to monitor all Ashley Refer a Friend Program account activity and terminate your account and/or your participation in the Ashley Refer a Friend Program if Ashley believes (in its sole discretion) that you have violated these Terms and Conditions and Ashley’s Terms of Use or any other terms applicable to the Ashley Refer a Friend Program, provided false or inaccurate information, abused the Ashley Refer a Friend Program, or that the use of your account is unauthorized, fraudulent, or otherwise unlawful or in violation of these terms. Ashley will have final decision in any disputes over promo codes, Qualified Referrals, or your participation in the Ashley Refer a Friend Program.
Privacy. The personal information collected, processed and used as part of the Ashley Refer a Friend Program will be used in accordance with our Privacy Policy. Ashley and Service Provider may also contact you about your participation in the Ashley Refer a Friend Program. You also explicitly consent to Ashley and Service Provider sending additional and follow up communications on your behalf to encourage or remind Referred Customers to complete their registration.
Liability. YOU UNDERSTAND AND AGREE THAT THE RELEASED PARTIES (DEFINED BELOW) SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF ASHLEY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). By participating in the Ashley Refer a Friend Program, you agree to defend, indemnify, release and hold harmless Ashley, Service Provider, and their respective parent companies, affiliates and subsidiaries, together with their respective employees, directors, officers, licensees, licensors, shareholders, attorneys and agents including, without limitation, their respective advertising and promotion entities and any person or entity associated with the production, operation or administration of the Ashley Refer a Friend Program (collectively, the “Released Parties”), from any and all claims, actions, demands, damages, losses, liabilities, costs or expenses caused by, arising out of, in connection with, or related to the Ashley Refer a Friend Program (including, without limitation, any property loss, damage, personal injury or death caused to any person(s)) and/or the awarding, receipt and/or use or misuse of any benefit in the Ashley Refer a Friend Program. To be clear, the Released Parties shall not be liable for any technical errors or malfunctions, data theft or corruption, any printing or typographical error, or any damage to any computer system resulting from participating in, or accessing or downloading information in connection with the Ashley Refer a Friend Program. The Released Parties shall not be liable to any users for failure to supply any advertised benefit, by reason of any acts of God, any action or request by any governmental or quasi-governmental entity (whether or not valid), or any other activity or action that is beyond any of the Released Parties’ control. TO THE FULLEST EXTENT POSSIBLE BY LAW, THE RELEASED PARTIES’ MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE PROGRAM, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY, OR OTHERWISE), WILL NOT EXCEED $100.
Disclaimer of Warranties.YOU EXPRESSLY UNDERSTAND AND AGREE THAT: (A) THE ASHLEY REFER A FRIEND PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND ASHLEY EXPRESSLY DISCLAIMS ALL WARRANTIES, CONDITIONS AND TERMS OF ANY KIND, WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR CUSTOM, INCLUDING, BUT NOT LIMITED TO, WARRANTIES AS TO PRODUCTS OR SERVICES OFFERED THROUGH THE USE OF THE ASHLEY REFER A FRIEND PROGRAM, IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) THE RELEASED PARTIES MAKE AND GIVE NO WARRANTY THAT (i) THE ASHLEY REFER A FRIEND PROGRAM WILL MEET YOUR REQUIREMENTS, (ii) THE ASHLEY REFER A FRIEND PROGRAM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, AND (iii) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE ASHLEY REFER A FRIEND PROGRAM WILL MEET YOUR EXPECTATIONS, AND (C) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE ASHLEY REFER A FRIEND PROGRAM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF ANY SUCH MATERIAL.AD OR USE OF ANY SUCH MATERIAL.
